I was 'expelled' from a 3 partner LLC in January but have not been paid to date for my 'fair market value' of my shares. The agreement states that 'a member may be expelled by a majority vote of the membership and shall be paid upon expulsion'. My partners maintain that I cannot ask for a Temporary Injunction for Recievership or file a Shareholder Derivative suit as I as 'expelled'. I have not been paid for my 1/3 share to date (expulsion was in January) which in my opinion makes me a "non-voting" member but still a 'shareholder'. Any advice?
