An organization is the sum of its parts. Of course the Chief Executive Office has
power and knowledge, but usually that person has influence but just one
vote. The President of the Board usually
has control over what is discussed and knowledge about what the topics of
discussion should be, or the agenda of a meeting, and that takes a great deal
of knowledge, but again that person has one vote. The treasurer can influence how the funds are
spent and he has financial knowledge, or at least he or she can direct what is
suggested to the board about the flow of funds in a company, and that is a
headache job with, you guessed it, just one vote. The other officers, Vice President
of Operations, Board Secretary, all have knowledge or they would not hold that
position but still they only have one vote.
The bottom line is that THEY ALL ANSWER TO THEIR STOCK HOLDERS AND THE
OWNER OR OWNERS OF THE CORPORATION. You
could say then, that they all possess knowledge, but the owner and stock holders
have the final word. Knowledge is power,
but with an organization, those who were smart enough to hold the stock (the
votes) have equal power with the OWNER in most instances.
